Sanofi India Ltd fixes record date for demerger

In accordance with the provisions of the Scheme of Arrangement between Sanofi India Limited ("Demerged Company") and Sanofi Consumer Healthcare India Limited ("Resulting Company") and their respective shareholders under Section 230-232 of the Companies Act, 2013, which was sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench, through its order dated 7th May 2024, and in adherence to Regulation 42 of the SEBI Listing Regulations, we wish to inform you that, Thursday, 13th June 2024, has been fixed as the 'Record Date' for the purpose of ascertaining the shareholders of the Demerged Company who will be entitled to receive fully paid-up equity shares of Rs 10/- each of the Resulting Company pursuant to the Scheme of Arrangement.

Accordingly, 1 equity share of the face value of Rs. 10/- each fully paid-up of the Resulting Company shall be issued and allotted for every 1 equity share of face value of Rs 10/- each fully paid-up held by equity shareholders of the Demerged Company.

The equity shares proposed to be allotted by the Resulting Company are proposed to be listed with the National Stock Exchange of India Limited and the BSE Limited subject to the applicable regulations and the necessary regulatory approvals.
