Jaisal Securities to raise funds for acquisitions

Jaisal Securities Ltd has announced that the Board of Directors of the Company at its meeting held on September 01, 2008, inter alia, has resolved to increase its authorized capital to Rs 10 crores (from the present Rs 4 crores) subject to the approval of the shareholders.

It was resolved to come out with a Preferential Issue of equity shares to the following investors at a price of Rs 50/- per share, including a premium of Rs 40 per share. The price being higher than the price arrived at under Chapter XIII of the SEBI DIP Guidelines pertaining to Preferential Issue of Shares. The price arrived at under SEBI DIP Guidelines is Rs 43.31. The Preferential Issue is subject to approvals to be obtained from the Shareholders, stock exchange and SEBI and any other Government regulatory authority.

Ltd - No of Shares : 20,00,000 & Amount (Rs in lacs) 1000.00, Mr. G Mohan Sundar - No of Shares : 100,000 & Amount (Rs in lacs) 50.00, Lotus Global Investments Ltd - No of Shares : 783,333 & Amount (Rs in lacs) : 391.67, Mavi Investment fund Ltd - No of Shares : 783,333 & Amount (Rs in lacs) : 391.67, Cresta fund Ltd - No of Shares : 783,334 & Amount (Rs in lacs) : 391.67, Rollmar Ltd - No of Shares : 300,000 & Amount (Rs in lacs) : 150.00, BMFI Ltd - No of Shares : 300,000 & Amount (Rs in lacs) : 150.00, Zenotech Pte Ltd - No of Shares : 300,000 & Amount (Rs in lacs) : 150.00, India Max Investment Fund Ltd - No of Shares : 300,000 & Amount (Rs in lacs) : 150.00.

It was resolved to focus on software business and was further resolved to use the entire proceeds to be raised through the proposed Preferential Issue for the purposes of the software businesses including setting up of software infrastructure and acquisition of software Companies in India and abroad.

The Board has decided to form a sub-committee comprising of two directors to decide on mailers relating to acquisition of software Companies in India and abroad.
