Atlanta EGM approves issue of warrants

Atlanta Ltd has announced that the members at the Extra Ordinary General Meeting (EGM) of the Company held on November 23, 2006, inter alia, have accorded to the following:

1. Authority to Board to issue, offer and allot up to 27,00,000 Warrants out of which 18,00,000 warrants are being issued and allotted to promoter group and the balance 9,00,000 Warrants to domestic / foreign investors and / or bodies corporate (Preferential Shareholders) on preferential basis, convertible into 27,00,000 Equity shares of Rs 10/- each, at a price of Rs 316/- per Share (Rs 10/- face value + Rs 306/- Premium) being the price which is in accordance with the SEBI guidelines for preferential issues, to the following person(s) / entity(s).

1. Mr Rajhoo Bbarot - 900000 No of Warrants allotted

2. Mr Rikiin Bbarot - 900000 No of Warrants allotted

Non Promoters Body Corporate

1. Winstar Ecom Pvt Ltd - 400000 No of Warrants allotted

2. Spotlight Securities Pvt Ltd - 300000 No of Warrants allotted

3. Ellis Equity Advisors Pvt Ltd - 200000 No of Warrants allotted

2. Increase in authorized Share Capital of the Company.

3. Alteration in article 3(a) of Articles of Association of the Company.
