Mahalaxmi Rubtech to issue shares on merger

Mahalaxmi Rubtech Ltd has announced that a meeting of the Board of Directors of the Company will be held on January 30, 2009, inter alia, to allot / issue equity shares of the Company to shareholders of Mahalaxmi Fabric Mills Pvt. Ltd. (MFM) under the Scheme of Amalgamation as per the order passed by the Hon'ble High Court of Gujarat, the Company will allot / issue 36,46,400 Equity Shares of Rs 10/- each as fully paid up to the shareholders of MFM, for this purpose January 27, 2009 has been fixed as record date for determining the shareholders of the MFM -Transferor Company, who will be entitled to receive Equity Shares of Mahalaxmi Rubtech Ltd. in terms of the Scheme of Amalgamation of MFM with the Company.
