Open Offer for Bemco Hydraulics at Rs.15.25

Microsec Capital Ltd ("Manager to the Offer") on behalf of Mohta Capital Pvt Ltd ("Acquirer") has issued this Public Announcement ("PA") to the shareholders of Bemco Hydraulics Ltd ("Target Company"), pursuant to Regulations 11(1) of, and in compliance with, the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("SEBI (SAST) Regulations").

The Offer

On behalf of the Promoter Group, the Acquirer, is making an offer to the public shareholders of Target Company to acquire up to 2,89,340 Fully Paid-up Equity Shares ("share(s)") of Rs 10/- each, representing in aggregate 20% of the Post Issue Equity Capital of the Target Company at a price of Rs 15.25 per share ("Offer Price") payable in cash subject to the terms & condition mentioned in ("Offer").
