Crest Animation Board Meeting on Oct 13, 2006 to allot shares

Crest Animation Studios Ltd has announced that a meeting of the Board of Directors of the Company will be held on October 13, 2006, inter alia, to consider the following:

1. Issue and allotment of upto 33,85,518 equity shares of Rs 10/- each to D E Shaw Composite Investments I (Mauritius) and / or D E Shaw Composite Fund, L.L.C. and D E Shaw Composite Holdings, L,L.C. and/or their wholly owned affiliates on preferential basis.

2. Appointment of nominee(s) of D E Shaw Composite Investments I (Mauritius) and/or D E Shaw Composite Fund, L.L.C. and D E Shaw Composite Holdings, L.L.C. and/or their wholly owned affiliates as Additional Director(s) on the Board of the Company.

3. Amendments in Articles of Association.

4. To fix date, time and venue of the Extraordinary General Meeting of the Company for the purpose of approval of shareholders on amendments in the articles of association of the Company.
