Open Offer for Contech Software at Rs.9

Chartered Capital & Investment Ltd ("Manager to the Offer") on behalf of Mr. Shyam Sunder Tibrewal, Mr. Siddharth Tibrewal, Mrs. Laxmidevi Tibrewal & Mrs. Monica Tibrewal ("Acquirers") has issued this Public Announcement ("PA") to the shareholders of Contech Software Ltd ("Target Company"), pursuant to the Regulations 10 & 12 as required under the Securities & Exchange Board of India (Substantial Acquisition of Shares & takeovers) Regulations, 1997 ["SEBI (SAST) Regulations 1997"] and subsequent amendments thereto, has announced as below.

The Offer

The Acquirers intends to make an Open Offer to the shareholders of the Target Company to acquire 10,97,960 equity shares of Rs 10/- each representing 20% of the Voting Capital of the Target Company at a price of Rs 9/- per fully paid up equity shares and Re 1/- per partly paid up equity share, payable in cash, subject to the terms & conditions mentioned in PA.
