OC Oerlikon Corporation AG & TH Licensing Inc announces open offer for Fairfield Atlas

ICICI Securities Ltd "(Manager to the Offer") on behalf of OC Oerlikon Corporation AG, Pfaffikon, Switzerland ("Acquirer") & TH Licensing Inc., USA, being a Person Acting in Concert ("PAC") has issued this Public Announcement to the equity shareholders of Fairfield Atlas Ltd ("Target Company"), pursuant to and in compliance with Regulations 10 & 12 and other applicable provisions of the Securities & Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations 1997 and subsequent amendments thereto ["SEBI (SAST) Regulations" or "Regulations"]. The PAC will acquire all the equity shares of the Target Company that are validly tendered as per terms of the Offer upto a maximum of 5,464,108 equity shares.

The Offer

The Acquirer & the PAC are making this Open Offer to acquire upto 5,464,108 equity shares ("Equity Shares") of the face value of Rs 10/- each, representing in aggregate 20% of the paid up equity share capital of the Target Company in terms of Regulation 21(1) of the SEBI (SAST) Regulations, at a price of Rs 81/- per share ("Offer Price") payable in cash.
