NR International Board to consider Bonus Issue

NR International Ltd has announced that a meeting of the Board of Directors of the Company will be held on January 31, 2007, inter alia, to consider, discuss & decide the following:

1. To consider for transfer of balance in accumulated Profit & Loss Account to the General Reserve Account of the Company.

2. To consider and decide the ratio of Bonus Issue.

3. To capitalise Share Premium Account collected in cash and the balance from the General Reserve account to the extent of the size of the Bonus Issue.

4. To consider and decide the enhancement of Authorised Shares Capital of the Company and to make its classification and quantum.

5. To consider and decide the date, time & venue for holding EGM.

6. To consider and decide delisting of Equity Shares from:

(a) The Calcutta Stock Exchange Ltd, Kolkatta

(b) The Ahmedabad Stock Exchange Ltd, Ahmedabad

(c) Bhuneshwar Stock Exchange, Bhuneshwar.
