Anant Raj Industries Ltd has announced that the Board of Directors of the Company at its meeting held on November 27, 2006 has considered and approved proposed arrangement for consolidating the business of the following group Companies with the Company:

1. Anant Raj Agencies Pvt Ltd
2. North Land Estates Pvt Ltd
3. Anant Raj Exports Pvt Ltd
4. Victor Promoters Pvt Ltd
5. Grand Park Estates Pvt Ltd
6. Greenwood Promoters Pvt Ltd
7. Greenwood Properties Pvt Ltd
8. Springdales Estates Pvt Ltd
9. Hemkunt Promoters Pvt Ltd
10. Jasmine Promoters Pvt Ltd
11. Parkland Promoters Pvt Ltd
12. Parkview Promoters Pvt Ltd
13. Mayur Buildtech Pvt Ltd
14. Sunrise Buildtech Pvt Ltd
15. Rockfield Buildtech Pvt Ltd
16. West Land Buildtech Pvt Ltd

The proposed scheme of arrangement will be subject to the approval of the shareholders and the respective Hon'ble High Courts.

The Share Exchange ratio and the Scheme will be communicated after considering the valuation Report(s) of Independent Valuer.
