Dolphin Offshore EGM to approve bonus issue

Dolphin Offshore Enterprises India Ltd has announced that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on December 19, 2006, to approve the Ordinary Resolution for capitalisation of a sum not exceeding Rs 3,36,00,000/- out of the amount standing to the credit of the Share Premium Account or General Reserve or any other reserve and / or surplus as at March 31, 2006, as may be decided by the Board & appropriation of the said sum of Rs 3,36,00,000/- towards the issue and, allotment of such number of fully paid Equity shares of Rs 10/- each (Bonus Shares) to the members whose name appear on the Register of Members of the Company or as beneficial owner(s) of shares in the records of the Depositories as on a date to be specified by the Board in this regard (the Record Date) in the proportion of 3 new Equity Shares for every 5 existing Equity Shares held by such persons on the Record Date, upon the footing that they become entitled thereto, for all purposes, as capital and not as income, subject to necessary provisions & approvals.
