Reddy Housing Pvt Ltd calls for Board Meeting on April 10, 2015

A meeting of the Board of Directors of Reddy Housing Pvt Ltd will be held on April 10, 2015, to issue 220 Nos. of Non Convertible Debentures at face value of Rs. 10,00,000/- (Rupees Ten Lacs Only) each at par to eligible investors on private placement basis.

The Board will consider proposal to appoint IL&FS Trust Company Limited as Debenture Trustee in terms of the aforesaid issue of Debentures and to authorize Mr. Kumbala Praveen, Director of the Company to issue offer letter in the format PAS-4 to the investors for acceptance of subscription of debentures.

The Board will consider proposal to enter into transaction documents as may be required or incidental to give effect to the aforesaid issue of debentures.

The Board will also approve proposal to enter into amended Debenture Subscription Agreement, Debenture Trust Deed, Share Pledge Agreement, Escrow Agreement & such other documents as may be required pursuant to cross collateralizing of securities in terms of the proposed issue along with the already existing Non Convertible Debentures of Rs. 40,00,00,000/- (Rupees Forty Crores Only).
