Aztecsoft postpones board meeting for dividend, results

Aztecsoft Ltd has announced that on April 13, 2007, the Honorable High Court of Karnataka has approved the Scheme of Amalgamation of Aztec Disha Technologies Ltd (the Company's wholly owned subsidiary) with the Company. Anticipating receipt of the signed Order approving the Scheme of Amalgamation (with effect from April 01, 2006), the Company on April 18, 2007 intimated to the Stock Exchanges, that the Company would be having a Board Meeting on April 26, 2007 to consider the financial results of the Company for the fourth quarter and year ended March 31, 2007 and recommendation for declaration of dividend, if any. The Company until date have not received the said signed Order.

Further the Company has informed that, with this as background, the decision to adopt the audited financial results stands postponed.

Therefore, the Company will publish audited results within a period of three months (on or before June 30, 2007) from the end of the March 31, 2007 quarter.)

The decision for recommendation for declaration of dividend, if any, also stands postponed. The exact date of the Board Meeting will be intimated.
