Vyapar Industries to amalgamate with Rassai Properties & Industries Ltd

Vyapar Industries Ltd has announced that the Board of Directors of the Company at its meeting held on January 23, 2007 has decided the following:

1. To Amalgamate the Company with Rassai Properties & Industries Ltd, which would be feasible and in the best interest of all concerned pursuant to the provisions of Sections 391 to 394 of the Companies Act, 1956, and other applicable provisions.

2. Appoint HU Consultancy Pvt Ltd to prepare a draft Scheme of Amalgamation in consultation with advocates & solicitors and submit to the Board for their consideration as well as implement the scheme.

3. Appoint Independent Valuer for ascertaining the valuation of the Companies and to recommend the Share Exchange Ratio in the matter.
