Orient Ceramics & Industries Ltd has announced that a meeting of the Board of Directors of the Company will be held on November 28, 2006, inter alia, to consider:

1. Enhancement of Authorised Capital.

2. Change in capital clause of Memorandum of Association due to change in Authorised Capital.

3. Change in capital clause of Articles of Association due to change in Authorised Capital.

4. Issue of Bonus Shares.
