BOB Capital Markets Ltd ("Manager to the Offer"), on behalf of Mr. Om Prakash Khetan & Others ("the Acquirers") has issued this Public Announcement ("PA") to the fully paid equity shareholders of Vishal Malleables Ltd (Target Company), pursuant to Regulation 10, 11(1), 11(2) or 12 (as the case may be) in compliance with the Securities & Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 and subsequent amendments thereto (the "SEBI (SAST) Regulations 1997") has announced as below:

The Offer:

The Acquirers are making an Offer to acquire 390000 equity shares of Rs 10/- each fully paid up representing 20% of the paid up equity share capital / Voting Right of the Company at a price of Rs 30/- Per fully paid up equity share ("Offer Price") payable in cash subject to the terms and conditions.
