Lokesh Machines Approves Rs 74.12 Crore Preferential Issue and Capital Increase

Lokesh Machines Limited (BSE: 532740, NSE: LOKESHMACH, CIN: L29219TG1983PLC004319) announced that its Board of Directors approved key capital raising measures and convened an Extraordinary General Meeting (EGM) during a meeting held from 11:00 A.M. to 2:40 P.M.

The Board proposed increasing authorized share capital from Rs. 22 crores (2.20 crore equity shares of Rs. 10 each) to Rs. 25 crores (2.50 crore shares), subject to shareholder approval, with corresponding alteration to the Memorandum of Association capital clause.

Additionally, subject to shareholder nod, the Board approved issuing up to 13,00,000 equity shares and 27,77,919 warrants convertible into equity shares (totaling 40,77,919 securities) via preferential allotment at Rs. 181.71 per share/warrant, aggregating approximately Rs. 74.12 crores, priced per SEBI ICDR Chapter V.

Allottees include promoters like Kishore Babu Bollineni (2,06,000 warrants), Mullapudi Sri Krishna (9,57,000 warrants), and Mullapudi Srinivas (8,37,000 warrants), promoter group entities, and public investors such as Ashok Atluri (5,00,000 warrants) and Zenila Ventures LLP (6,00,000 equity shares). Post-issue promoter/promoter group holding rises to around 35%.

The EGM is scheduled for April 3, 2026, at 11:00 A.M. via VC/OAVM, with March 27, 2026, as remote e-voting cut-off date. L.D. Reddy & Co., Practising Company Secretaries, appointed as scrutinizer.

Shares of Lokesh Machines Limited was last trading in BSE at Rs. 208.95 as compared to the previous close of Rs. 195.90. The total number of shares traded during the day was 22941 in over 959 trades.

The stock hit an intraday high of Rs. 223.00 and intraday low of 194.70. The net turnover during the day was Rs. 4933115.00.
