Shakti Pumps India Ltd calls for Board Meeting on Sept 17, 2014

A meeting of the Board of Directors of Shakti Pumps India Ltd will be held on September 17, 2014, to consider, read and confirm the Minutes of previous Board Meeting.

The Board will consider the issue of Preferential Warrants/ Equity Shares/ Optional Convertible Instruments/ Non-convertible Debt Instruments/ Convertible Securities/ Compulsory Convertible Preference Shares.

The Board will consider conversion of Warrants into Equity Shares on a preferential basis to Mr. Ankit Patidar. Promoter and Promoter Group-Directors Relatives.

The Board will consider proposal to appoint an Independent Woman Director of the Company and decide date, venue and time of Extra-Ordinary General Meeting.

As per the Company's Code of Conduct for Prevention of Insider Trading read with Securities Exchange Board of India (Prohibition of insider Trading) Regulation, 1992, the Trading window for dealing in Equity Shares of the Company shall remain closed from September 10, 2014 to September 18, 2014 (both days inclusive) for the purpose of Issue of Preferential Warrants/ Equity Shares/ Optional Convertible Instruments/ Non-convertible Debt Instruments/ Convertible Securities/ Compulsory Convertible Preference Shares, if any for all the Designated Employees (including Directors) of the Company have been intimated not to enter into any transaction involving the securities of the Company during the aforesaid period of closure of Trading Window.

The 'Trading window' shall reopen for dealing in securities in the Equity shares of the Company from the start of the business hours on September 19, 2014.
