Som Datt Finance Updates on Open Offer

Chartered Capital & Investment Ltd ("Manager to the Offer") on behalf of Mr. Som Datt Khunaja ("Acquirer") along with Mrs. Latika Datt Abbott, Mrs. Usha Datt, Mrs. Charu Datt Bhatia, Mrs. Anuradha Datt Munjal, Mrs. Anjali Anand, Mrs. Sadhana Singh, M/s Som Datt Enterprises Ltd & M/s Som Datt Capital Development Ltd ("Person Acting in Concert"/"PACs") has issued this Public Announcement to the shareholders of Som Datt Finance Corporation Ltd ("Target Company"), which is in continuation of & should be read in Conjunction with the Original Public Announcement (PA) dated August 21, 2006, pursuant to Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 and subsequent amendments thereof. The Shareholders of the Target Company has requested to note the following:

1. The Acquirer along with PACs is making an Offer under the SEBI (SAST) Regulations, 1997 to acquire 20,01,594 equity shares of Rs 10/- each fully paid up representing 20% of the total paid up capital and resultant voting rights of the Target Company at a price of Rs 10.60/- per fully paid up equity share ("Offer Price"), alongwith interest of Rs 0.65 calculated at the rate of 10%. p.a. from November 16, 2006 (the schedule last date for payment of consideration to the shareholders as per original Public Announcement dated August 21, 2006) to June 26, 2007 (the schedule last date for dispatch of payment of consideration to the shareholders under the Offer) payable in cash subject to the terms and conditions mentioned in PA.
