ITC Ltd has on February 11, 2011 issued and allotted 14,65,840 Ordinary Shares of Re. 1/- each, upon exercise of 1,46,584 Options by Optionees under the Company's Employee Stock Option Schemes.

Consequently, with effect from February 11, 2011, the Issued and Subscribed Share Capital of the Company stands increased to Rs. 771,89,33,220/- divided into 771,89,33,220 Ordinary Shares of Re. 1/- each.
