Caplin Point to amalgamate May (India) Laboratories Pvt Ltd

Caplin Point Laboratories Ltd has announced that the Board of Directors of the Company at its meeting held on October 31, 2006, has approved the following:

1. The Board has taken note of the order from the High Court of Judicature at Madras for convening of an Extraordinary General Meeting to be held November 27, 2006 for approval of the Scheme of Amalgamation of May (India) Laboratories Pvt Ltd with the Company.

2. Convening of an Extraordinary General Meeting on November 27, 2006 soon after the conclusion of the Court convened meeting with regard to amendment in the Memorandum of Association and Articles of Association in connection with the increase in the Authorised Capital from Rs 7 crores to Rs 14 crores consequent to the proposed merger of M/s May (India) Laboratories Pvt Ltd with the Company.

3. Decided to make an application to Registrar of Companies, Tamilnadu seeking extension of time for holding the 15th Annual General Meeting of the members of the Company on or before March 31, 2007.
