Astral Chemie Acquires 60% Stake in DSS LLP to Drive Specialty Chemical Innovation

Astral Chemie Limited (ACL), a wholly-owned subsidiary of Astral Limited, has entered into definitive agreements to acquire a 60% partnership interest in Differentiated and Sustainable Solutions LLP (DSS). The transaction will be completed for an aggregate cash consideration of ₹39.11 Crores.

Incorporated in late 2015, DSS operates its registered office and manufacturing facility at the Vilayat GIDC in the Bharuch district of Gujarat, India. The company specializes in developing technologies for specialty chemicals and materials, alongside manufacturing performance products utilized in composites, coatings, adhesives, and energy fields.

High-End Portfolio: Addressing Import Dependency

DSS has pioneered the domestic development and marketing of advanced chemical materials. Its core product portfolio spans four critical segments:

Specialty Polyamines: Used as fundamental building blocks, modifiers, and additives alongside epoxies, polyurethanes, and polyureas.

Curing Agents: Specialized additives formulated for thermosets.

Advanced Resins: High-purity Bismaleimides and Benzoxazines designed specifically for electronics, aerospace, and defense applications.

Formulated Systems: Targeted solutions for adhesives, tooling, coatings, construction, composites, and electrical insulation.

Historically, India has relied heavily on imports to meet its domestic demand for Polyamines, Bismaleimides, and Benzoxazines. DSS stands out as the only corporate entity in India possessing the proprietary technology required to manufacture this extensive range of specialty chemistries. The company's products have already secured qualifications with major domestic clients, and because global manufacturing is restricted to a small handful of international players, the acquisition opens up a clear runway for exports to the US, the European Union, and Japan.

Strategic Rationale and Synergy Blueprint

The acquisition carries an annual production capacity of 5,200 metric tonnes (M.T.) and offers substantial backward integration benefits for Astral's existing lines of business.

Backward Integration: Acquiring DSS gives Astral deep, proprietary insights into the core chemistries required to develop and augment its flagship adhesives, construction chemicals, and coatings portfolios.

New Market Entry: The specialized nature of DSS's product line provides Astral with immediate access to high-value, high-growth business-to-business (B2B) segments, including electronics, aerospace, renewable energy, and heavy infrastructure.

Intellectual Property & Upscaling: Beyond current production, DSS actively designs, develops, and scales up chemical processes for various domestic and international clients, holding a robust pipeline of active and pending intellectual property rights.

"This acquisition is aligned with Astral's long-term strategy of investing in technology-led capabilities that create enduring competitive advantages," stated Mr. Saumya Engineer, CEO of the Adhesives and Paints Business at Astral Limited. "The addition of advanced specialty chemicals and proprietary chemical expertise will strengthen our technology platform, deepen backward integration across critical specialty chemistries and enhance our research & development capabilities."

Shares of Astral Poly Technik Limited was last trading in BSE at Rs. 1490.45 as compared to the previous close of Rs. 1499.50. The total number of shares traded during the day was 8050 in over 695 trades.

The stock hit an intraday high of Rs. 1516.30 and intraday low of 1486.00. The net turnover during the day was Rs. 12058680.00.
