FSN E-Commerce Ventures Ltd to acquire balance 40% stake in Nudge Wellness Pvt Ltd

The Board of Directors of FSN E-Commerce Ventures Limited ("Company"), at its meeting held today i.e. on Tuesday, August 12, 2025 has approved acquisition of the balance 40% stake in Nudge Wellness Private Limited ("Nudge") from the Promoter / Existing Shareholder viz., Onesto Labs Private Limited ("Onesto"), based on the pre-agreed terms in the Shareholders' agreement dated 22 April 2022.

The aforesaid transaction is subject to execution of definitive transaction documents and any other applicable procedural and regulatory steps.

Onesto currently holds 40% of Nudge and it will cease to hold any stake in Nudge upon closing of the transaction.

72 Ventures LLP, a promoter group entity, holds 3.62% in Onesto and this investment was made in August 2021, prior to listing of the Company and prior to investment by the Company into Nudge.

Shares of FSN E-Commerce Ventures Ltd was last trading in BSE at Rs. 203.60 as compared to the previous close of Rs. 202.05. The total number of shares traded during the day was 47029 in over 1006 trades.

The stock hit an intraday high of Rs. 204.25 and intraday low of 200.25. The net turnover during the day was Rs. 9528547.00.
