Pradhin Ltd board approves stock split, bonus issue

The Board of Directors of Pradhin Ltd at its meeting held on Friday, 17th January, 2025 has considered and approved Sub-division/ split of the existing Equity Shares of the Company, such that each Equity Share having face value of Rs. 10/- (Rupees Ten only) each fully paid-up, be sub-divided/split into such number of Equity Shares having face value of Rs. 1 each fully paid-up, subject to the approval of Equity Shareholders of the Company through Postal Ballot. The Record Date for sub-division/split of existing Equity Shares shall be decided after taking aforesaid approval of the Equity Shareholders of the Company.

The Board has considered and approved alteration of MOA Consequent to Alteration of the Capital Clause (Clause V) of the Memorandum of Association of the Company on account of aforesaid sub-division/split of existing Equity Shares "The Company will shortly be seeking approval of equity shareholders for the Sub-division/Split of shares and for consequent amendment to the Memorandum of Association of the Company.

The Board has considered and approved issue of Bonus Shares in the ratio of 2:1 (Two bonus equity shares for every one equity share) to the eligible equity shareholders of the Company as on the proposed record date by capitalization of securities premium, subject to the approval of the shareholders of the Company.

4. Considered & approved Increasing the Authorized Share Capital of the Company from Rs. 100,00,00,000/- to Rs. 105,00,00,000/- subject to the approval of the members through Postal Ballot.

Shares of Pradhin Ltd was last trading in BSE at Rs. 25.46 as compared to the previous close of Rs. 25.97. The total number of shares traded during the day was 42786 in over 235 trades.
