BSE imposes fine on Kalyan Capitals Limited

BSE Limited ("BSE") have, vide their email/letter dated August 21st, 2023, imposed a fine of Rs. 8,31,900/- (Rupees Eight Lakh Thirty-One Thousand and Nine Hundred only) on the Company under Regulation 17(1) of the SEBI Listing Regulations for Non-compliance with the requirements pertaining to the composition of the Board including failure to appoint woman Director.

The Company has clarified that as on date the company is having half of the Board of Directors as Independent Directors and also comprises of two Woman Directors. The default arises due to approval for the Application for change in control/management is pending with the Reserve Bank of India (RBI).

The Company remains committed to ensure optimum compliances of all applicable laws.
