The Securities Issue Committee of the Board of Directors of Suzlon Energy Ltd has, at its meeting held on 12th October 2020 (which commenced at 5.00 p.m. and concluded at 5.30 p.m.), approved allotment of 7,85,88,145 (Seven Crores Eighty Five Lacs Eighty Eight Thousand One Hundred Forty Five) equity shares of the Company bearing distinctive numbers from 8525523054 to 8604111198 and having a face value of Rs.2/- (Rupees Two Only) each on conversion of 8,564 (Eight Thousand Five Hundred Sixty Four) U.S.$ denominated Convertible Bonds due 2032 having a face value of USD 320 each at a conversion price of Rs.2.61 (Rupees Two and Paise Sixty One Only) per equity share with a fixed rate of exchange on conversion of Rs.74.8464 to USD 1.00 in terms of the Consent Solicitation and Information Memorandum dated 26th March 2020, as supplemented on 31st March 2020 and 2nd April 2020, pursuant to the conversion notice(s) received from Bondholder(s) forming part of U.S.$ denominated Convertible Bonds due 2032.

Post aforesaid allotment, the paid-up capital of the Company is Rs.1660,82,22,396/- (Rupees One Thousand Six Hundred Sixty Crores Eighty Two Lacs Twenty Two Thousand Three Hundred Ninety Six Only) divided into 830,41,11,198 (Eight Hundred Thirty Crores Forty One Lacs Eleven Thousand One Hundred Ninety Eight) equity shares of Rs.2/- (Rupees Two Only) each.
