Ruchi Soya Industries to submit High Court Order to Registrar of Companies on scheme of Amalgamation

Ruchi Soya Industries Ltd has announced that the Board of Directors of the Company at its meeting held on August 29, 2006, has taken the certified copies of the High Court Orders on record. The Company will shortly make Scheme I and Scheme II effective by filing the certified true copies of the High Court Order with Registrar of Companies.

As regards Scheme III, the Company still awaits approval of the jurisdictional High Courts i.e. Hon’ble High Court of Bombay and Delhi. Pending final approval of the Hon’ble High Court of Bombay and Delhi, the Company has obtained approval of the Registrar of Companies for extension of time for holding of the Annual General Meeting for the Financial Year 2005-06 by 3 months. The Company will, therefore, hold an Annual General Meeting on or before December 29, 2006.
