California Software recommends 10% dividend

California Software Company Ltd has announced that the members at the Annual General Meeting (AGM) of the Company held on August 26, 2006, inter alia, have approved the following:

1. Adoption of Profit & Loss Account for the year ended March 31, 2006 and the Balance Sheet as on that date together with Directors and Auditors report thereon.

2. Declaration of dividend at the rate of Re 1/- (10%) per Equity Share out of the current profits of the Company for the year ended March 31, 2006.

3. Appointment of Mr Robert V Chandran and Prof T T Narendran as Directors of the Company, liable to retire by rotation.

4. Retirement of Mr Masanori Toyoshima, who did not seek re-appointment as Director.

5. Appointment of M/s Tomy & Francis as Auditors of the Company to hold office until the conclusion of the next Annual General Meeting of the Company, on remuneration, terms and condition.

6. Payment of remuneration to Mr S Santhosh by the Company´s wholly owned subsidiary for his services as the President and Chief Executive of the subsidiary, for the remaining period of his appointment i.e. up to May 08, 2010, on terms & conditions.
