Capital Hotels declares 5% interim dividend, to change name to CHD Developers Ltd

Capital Hotels & Developers Ltd has announced that the members at the 16th Annual General Meeting (AGM) of the Company held on August 22, 2006, inter alia, have accorded to the following:

1. Adoption of the Audited Balance Sheet as at March 31, 2006 and Profit and Loss Account for the financial year ended on that date together with the Directors´ Report, Auditors Report and the Schedules attached thereto.

2. The interim dividend @ 5% on the paid up equity share capital paid by the Board of Directors during the year be confirmed & recorded as final dividend for the year ended March 31, 2006.

3. Re-appointment of Mr Pran Nath, as Director of the Company, liable to retire by rotation.

4. Re-appointment of M/s Mohan & Mohan, Chartered Accountants, as Auditors of the Company to hold office from the conclusion of this meeting till the conclusion of next Annual General Meeting of the Company, on remuneration, terms & conditions.

5. Subject to the approval of the Central Government under Section 21, and other applicable provisions, if any, of the Companies Act 1956, the name of the company be changed from Capital Hotels And Developers Ltd to CHD Developers Ltd and that the name of the Company shall be CHD Developers Ltd with effect from the date of issue of Certificate of Incorporation by the Registrar of Companies, Delhi & Haryana in that behalf, and accordingly the name Capital Hotels And Developers Ltd wherever it occurs in the Memorandum and Articles of Association of the Company be substituted by the name CHD Developers Ltd, subject to necessary provisions & approvals.
