Balaji Amines EGM to consider issue of bonus shares

Balaji Amines Ltd has announced that an Extra-Ordinary General Meeting (EGM) of the members of the Company will be held on December 23, 2006, inter alia, to transact the following:

1. Capitalisation of a sum of Rs 3,24,01,000 standing to the credit of the company’s general reserves and that the said sum be accordingly set free for distribution by way of paying up in full 32,40,100 Equity shares in the un-issued share capital of the company of the face value of Rs 10/- each to be allotted and distributed in proportion of one bonus share for every one equity share of Rs 10/- each held by such member as on the record date to be determined by the Board of Directors of the company and upon the footing that they become entitled to such new equity shares as capital and not as income.

2. Appointment of M/s Ande Resources Inc, C.A., USA, represented by its proprietor Mr A Srinivas Reddy, (son of Mr A Prathap Reddy, Managing Director of the Company), for Business Development, in USA on remuneration, terms and conditions effective from January 01, 2007.
