Binayak Tex Board to consider issue of warrants, amalgamation of group companies

Binayak Tex Processors Ltd has announced that a meeting of the Board of Directors of the Company will be held on October 30, 2006, inter alia, to consider the following:

1. To consider the unaudited financial results of the Company for the quarter ending September 30, 2006.

2. To reconsider the Scheme of Amalgamation of Valiant Glass Works Pvt Ltd, Jimtex Pvt Ltd and Benktesh Synth Processors Pvt Ltd with the Company, approved in the meeting held on October 04, 2006.

3. To consider a preferential allotment / issue of Equity Shares or Warrants having an option to apply for the equity shares of the Company.
