The Rights Issue Committee of the Board of Gokul Agro Resources Ltd at its meeting held on today i.e. March 1, 2023, has considered and approved the terms pertaining to the proposed Rights Issue of Equity Shares having face value of Rs. 2/- (Rupees Two Only) each.
Rights Entitlements Ratio - 1 (One) Equity Share for every 32 (Thirty Two) Equity Shares held by the Shareholders as on the Record Date ("Eligible Shareholders"), with a right to renounce to the existing Equity Shareholders of the Company.
Issue Price Per Right Shares - Issue price of Rs. 92/- (Rupees Ninety-Two Only) Equity Share (including a Share premium of Rs. 90/- (Rupees Ninety Only) per Equity Share of face value of Rs. 2/- (Rupees Two Only) each.
Size of the Issue - 44,71,011 [Forty Four Lakhs Seventy One Thousand and Eleven] fully paid-up Equity Shares having face value of Rs.2/- (Rupees Two Only) each at an issue price of Rs. 92/- (Rupees Ninety-Two Only) (including a Share Premium of Rs.90/-) aggregating to 41,13,33,012/- (Forty-One Crore Thirteen Lakhs Thirty-Three Thousand Twelve Only)
Terms of the Payment - Full Amount of Rs. 92/- (Rupees Ninety-Two Only) per Equity Share is payable on application by the Eligible Shareholder Applicant.
The payment towards each Rights Equity Share will be applied as under: Rs.2/- (Rupees Two Only) towards Share Capital; and Rs. 90/- (Rupees Ninety Only) towards Share Premium.
Record Date - March 8, 2023 for the purpose of determining the Equity Shareholders entitled to receive the Rights entitlement in the Rights Issue ("Eligible Equity Shareholders")
