Vegetable Products Ltd to change name

The Board has decided to change name of the Company from "Vegetable Products Limited" to "Wardwizard Foods and Beverages Limited" or any other such name/s as may be approved by the regulatory authorities under the Companies Act, 2013 or any other rules, laws, acts, statutes or regulations as may be applicable to the Company and alteration of Memorandum and Articles of Association of the Company.

The Board has decided to Change main object of the Company and the matters which are necessary for the furtherance of objects of the Company, subject to shareholders' and Regulatory bodies' approval/s. The present management proposes to conduct business activities for frozen foods, ready to eat foods, aerated drinks, soft drinks, drinking water and other foods and beverages items and consequent alteration of Memorandum of Association of the company.

The Board decided to increase the Authorized Share Capital of the Company from Rs. 11,00,00,000/- (Rupees Eleven crore only) to Rs. 26,00,00,000 (Rupees Twenty-six crore only) divided into 26,00,00,000 (Twenty-six crore) equity shares of Re.1/- each of the Company and consequent alteration of Memorandum of Association of the company, Subject to Shareholders' approval.

The Board proposed to Issue 15,00,00,000 (Fifteen crore) number of convertible equity warrants face value of Re. 1/- each at an issue price of Rs. 5/- each (Including premium of Rs. 4/-) on cash aggregating to Rs. 75,00,00,000/- (Rupees Seventy-five crore only) on preferential basis to Promoter, Promoter Group and/or strategic investors not forming part of the promoter or promoter group/ non-Promoter and / or at such higher prices as may be determined as per the provisions of the SEBI (ICDR) Regulations, 2018 as amended time to time related to the issue of securities on Preferential basis, Subject to Shareholders' & Stock Exchange approvals.

The Board has approved the Valuation Report Issued by Mr. Nitish Chaturvedi, Registered Valuer for the purpose of issue of convertible equity warrants/shares on preferential basis.

The Company has decided to change the registered office address From Subol Dutt Building 13, Brabourne Road, 6th Floor, Kolkata-700001 to MMS Chambers, 4A, Council House Street, 1° floor, Room No. D1, Kolkata - 700001 with effect from 17th June, 2022.

Shares of Vegetable Products Ltd was last trading in BSE at Rs. 47.20 as compared to the previous close of Rs. 49.20. The total number of shares traded during the day was 5135 in over 109 trades.

The stock hit an intraday high of Rs. 49.50 and intraday low of 46.75. The net turnover during the day was Rs. 242703.00.
