Pursuant to Composite Scheme of Amalgamation and Arrangement amongst GMR Power Infra Limited (Amalgamating Company), GMR Infrastructure Limited (Amalgamated Company or Demerged Company) and GMR Power and Urban Infra Limited (Resulting Company) and their respective shareholders as sanctioned by the Mumbai Bench of the Hon'ble National Company Law Tribunal, whereby upon the coming into effect of the Scheme and in consideration of:

- Pursuant to Amalgamation of GMR Power Infra Limited with GMR Infrastructure Limited, As the entire share capital of GMR Power Infra Limited is held by GMR Infrastructure Limited, no consideration shall be payable pursuant to the Amalgamation. Shares held by GMR Infrastructure Limited, its subsidiaries and nominees in GMR Power Infra Limited shall stand cancelled.

- Demerger of the EPC Business and the Urban Infrastructure Business of GMR Infrastructure Limited and transfer of the same to GMR Power and Urban Infra Limited subsequent to aforesaid amalgamation of GMR Power Infra Limited with GMR Infrastructure Limited becoming effective, GMR Power and Urban Infra Limited had allotted equity shares to the shareholders of GMR Infrastructure Limited in the ratio of 1 (One) fully paid up equity share of INR 5/- each of GMR Power and Urban Infra Limited for every 10 (Ten) fully paid equity share of INR 1/- (Rupee One) each held in GMR Infrastructure Limited on the Record Date.

Prior to the Scheme, the paid-up equity capital of GMR Power and Urban Infra Limited was Rs. 10,00,000/- consisting of 1,00,000 equity shares of face value of Rs.10/- each which are held by GMR Infrastructure Limited and the same shall stand cancelled upon aforesaid demerger. After giving effect to the allotment of 60,35,94,528 equity shares of Rs. 5/- to the shareholders of GMR Infrastructure Limited and cancellation of 1,00,000 equity shares of Rs. 10/- each, the post arrangement paid up equity capital of GMR Power and Urban Infra Limited is Rs. 3,01,79,72,640 /- consisting of 60,35,94,528 Equity shares Rs.5/- each.
