Venky's India Ltd amalgamates promoter companies with itself

Venky'S (India) Limited has informed that Shivalik Hatcheries Pvt. Ltd and Venkateshwara Farms Pvt. Ltd., the promoter companies of Venky's (India) Limited have amalgamated with Venkateshwara Hatcheries Pvt. Ltd., which is also falling under promoter group, as detailed below. The date of amalgamation is April 01, 2005 and effective from August 17, 2006:- (1) Name of amalgamated Company - Shivalik Hatcheries Pvt. Ltd., Name of the High Court which issued the Order - High Court of Simla, Date of Amalgamation Order - June 07, 2006, Name of the transferee company - Venkateshwara Hatcheries P. Ltd., No. of shares acquired due to amalgamation - 402412, % of the Capital - 4.28%. (2) Name of amalgamated Company - Venkateshwara Farms Pvt. Ltd., Name of the High Court which issued the Order - High Court of Andhra Pradesh at Hyderabad, Date of Amalgamation Order - August 17, 2006, Name of the transferee company - Venkateshwara Hatcheries P. Ltd., No. of shares acquired due to amalgamation - 1909158, % of the Capital - 20.33%. Pursuant to the scheme of amalgamation, the shareholding of Venkateshwara Hatcheries Pvt. Ltd., viz., the transferee and promoter company have increased from 1363242 equity shares to 3674812 equity shares and the percentage of the shareholding have raised from 14.52% to 39.13% on the total share capital of the company.
