Virat Crane Board to consider merger of Durga Diary and demerger of infrastructure division

Virat Crane Industries Ltd has announced that a meeting of the Board of Directors of the Company will be held on July 05, 2007, inter alia, to transact the following:

1. To decide on the swap ratios for the merger of Durga Dairy Ltd with the Company.

2. To decide on the Demerger ratio's of infrastructure division and the number of shares to be issued to the existing shareholders of the Company.

3. To take on account the scheme of Merger and Demerger as devised by M/s. Rajesh Shah & Co, Legal Consultants in coordination with M/s. Firstcall India Equity Advisors Pvt. Ltd, Mumbai, the Advisors for the transaction.

4. To fix the date for the submission of documents to BSE for the Merger of Durga Dairy Ltd and Demerger of Infrastructure Division.
